1. Service Description

SGS Pro ("Service") is a B2B Software-as-a-Service (SaaS) platform that provides analytics and optimization insights for AI-powered search engines. The platform delivers audits, visibility analysis, and structured recommendations related to brand presence on generative AI models like SearchGPT, Perplexity, and Claude.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

3. Subscriptions & Billing

The Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring basis (monthly or annually). All payments are handled by our merchant of record, Lemon Squeezy.

At the end of each billing cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it at least 24 hours prior to the renewal date.

4. Cancellation & Refund Policy

You may cancel your Subscription at any time through your account's billing portal. The cancellation will take effect at the end of the current billing cycle, and you will not be charged for the next cycle.

5. Disclaimer & No Guarantee Clause

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. SGS Pro makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

We do not guarantee search rankings, AI visibility, traffic, revenue, or business results. The data provided is for analytical and informational purposes only. Results may vary based on industry, competition, and implementation. Any claims of "winning" or "dominating" are marketing statements and not a promise of performance.

6. Limitation of Liability

In no event shall SGS Pro be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, or use, resulting from your use of the Service. Our total liability in any matter arising out of or related to these terms is limited to the aggregate amount you paid for the Service during the twelve (12) months preceding the event giving rise to the claim.

7. Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
